Reorganising a group after acquisition
Private equity backed global group
5entities sold and purchased
Regulators in Australia, the UK and NZ handled
The challenge
After a private equity acquisition, the group's legal entity structure had to be reorganised, with many advisors and regulators involved and cost to control.
What I did
- Led the legal and financial reorganisation, including the sale and purchase of five entities.
- Managed valuers, tax and deals experts, transfer pricing specialists, lawyers and corporate secretaries against one plan.
- Drafted the audit memos supporting the accounting treatment.
- Handled obligations with ASIC, Companies House and the NZ Companies Office.
The result
The new structure in place and aligned with the private equity parent's intended design.
